API Introduces Two New Diesel Engine Oil Standards, API Service Categories CK-4 And FA-4.

API’s development of engine oil standards is nothing new. We’ve been publishing them since the 1940’s. Normally, engine oil standards are developed to protect new and current engine technologies, meet government regulations, and ensure tests are in place to measure engine oil performance. All of these factors figured into the development of API CK-4 and FA-4. What’s different about the development is API’s introduction of two diesel engine oil standards at the same time. We haven’t done that since API CF and CF-2 in 1994.


Key Points:

API CK-4 and FA-4 will first appear in the API Service Symbol “Donut” on December 1, 2016. This delay in licensing allows marketers time to test their new formulations and ready them for market.Most truck manufacturers recommending API-licensed CJ-4 engine oils will likely recommend truck owners start using licensed API CK-4 oils as soon as they are available. API CK-4 oils will better protect today’s diesel engines.API FA-4 oils, however, are different. These oils have been designed to protect diesel engines that are expected to be on the road sometime in 2016 or 2017. Some engine manufacturers might recommend API FA-4 oils for their previous model-year vehicles, but it is likely manufacturers recommending API CJ-4 oils today will just recommend API CK-4 for these vehicles when the new categories are introduced.

Official Descriptions For API CK-4 And FA-4, Both Are Summarized Below:

API CK-4 describes oils for use in high-speed four-stroke cycle diesel engines designed to meet 2017 model year on-highway and Tier 4 non-road exhaust emission standards as well as for previous model year diesel engines. These oils are formulated for use in all applications with diesel fuels ranging in sulfur content up to 500 ppm. However, the use of these oils with greater than 15 ppm sulfur fuel may impact exhaust aftertreatment system durability and/or oil drain interval.

API CK-4 oils are especially effective at sustaining emission control system durability where particulate filters and other advanced aftertreatment systems are used. API CK-4 oils are designed to provide enhanced protection against oil oxidation, viscosity loss due to shear, and oil aeration as well as protection against catalyst poisoning, particulate filter blocking, engine wear, piston deposits, degradation of low- and high-temperature properties, and soot-related viscosity increase.API CK-4 oils exceed the performance criteria of API CJ-4, CI-4 with CI-4 PLUS, CI-4, and CH-4 and can effectively lubricate engines calling for those API Service Categories. When using CK-4 oil with higher than 15 ppm sulfur fuel, consult the engine manufacturer for service interval recommendations.

API FA-4 describes certain XW-30 oils specifically formulated for use in select high-speed four-stroke cycle diesel engines designed to meet 2017 model year on-highway greenhouse gas (GHG) emission standards. These oils are formulated for use in on-highway applications with diesel fuel sulfur content up to 15 ppm. Refer to individual engine manufacturer recommendations regarding compatibility with API FA-4 oils.

API FA-4 oils are blended to a high temperature high shear (HTHS) viscosity range of 2.9cP-3.2cP to assist in reducing GHG emissions. These oils are especially effective at sustaining emission control system durability where particulate filters and other advanced aftertreatment systems are used. In the intervening thirty-five years, the Glock has become the dominant handgun in a crowded field of competitors. Despite stiff competition from countries emulating his polymer design, Glock 17 handguns serve with such diverse forces as the British Armed Forces, the Swedish Armed Forces, Indian special forces, the Iraqi military, the Israeli Defense Forces and the Yemeni military. The Glock 17 outfits dozens of armies and hundreds of police forces worldwide. U.S. Army Rangers and Marine Corps Forces Special Operations Command use the compact version, the Glock 19, and  U.S. Special Forces —including the shadowy Delta Force—carry the .40 Smith & Wesson–caliber Glock 22.

For much of the mid-twentieth century, handgun development was in a period of stagnation. The development of the semiautomatic pistol had ushered in a new weapon that, although more complex than a revolver, had a higher ammunition capacity. Quickly adopted by armies around the world, the steel-framed semiautomatic reigned for decades. Then, in the 1980s, something came along that disrupted the firearms industry: the Glock handgun. Today it’s carried by armies worldwide, from the U.S. Army Rangers to the British Armed Forces.

The story of the Glock began in February 1980, when the Austrian army was looking to replace antiquated, World War II–era Walther P-38 handguns with something new. Gaston Glock, an Austrian citizen who ran a small business producing field knives and blades for the Austrian Army, overheard a conversation between two Austrian Army colonels and learned the Army was in the process of searching for a new pistol. According to  Glock: The Rise of America’s Gun , Glock asked the minister of defense whether or not his shop could compete, and the answer was, “Yes, why not?”

Glock knew nothing about handguns. He had spent two or three days in World War II as a conscript teenager in the Wehrmacht, but that had had no practical benefit for him. The machine shop owner went out and purchased a number of competing pistols, including the Italian Beretta 92F, the Swiss-German Sig Sauer P220, the Czech CZ75 and a modern version of the Walther P-38, the P-1. Glock took the weapons home and studied them, how they worked and how they were constructed. He also consulted firearms specialists, soliciting them for ideas on what they would like to see in a modern handgun.

Glock learned that the Austrian army wanted a pistol with a high ammunition capacity, more than the eight rounds of the Walther P-38. It should weigh no more than twenty-eight ounces, with a streamlined design and a consistent, light trigger pull. It should also have no more than forty parts. After a year of tinkering and product development, Glock filed for a patent for a pistol design on April 30, 1981. He delivered four test pistols the Austrian army on May 19, 1982. The resulting pistol, known as the Glock 17, swept the army’s handgun trials and was accepted for service, earning Glock a contract for twenty thousand of his new pistols.

The Glock 17 was a pistol unlike any other. Strong and light, the lower half of the pistol is a polymer frame housing a steel fire control group. The upper half of the pistol is made from a single block of steel. This use of plastics allowed Glock to keep the handgun’s weight down to twenty-three ounces—a quarter pound less than the army requirement. Other competitors such as the Beretta 92F and the CZ75 used a steel frame. Glock simplified the design to just thirty-four parts. Longtime gun manufacturer Beretta’s 92F pistol, by comparison, had more than seventy parts.

Glock spent considerable time working on his pistol’s “pointability,” a term that describes a pistol’s natural ability to act as an extension of the shooter’s hand and eye coordination. This makes the pistol easy to aim, t***slating into a more user-friendly, accurate weapon. The Walther P-38, by comparison “ points badly .” Glock also concentrated on making his weapon reliable over all else, and in a competition that allowed for twenty jams in ten thousand shots, his pistol only failed once.

The Glock 17 was also one of the first high-capacity pistols. The Browning Hi Power, designed by John M. Browning himself, was one of the first high-capacity shooters and carried thirteen rounds. The Beretta 92 could carry an impressive fifteen rounds. The Glock 17, however, beat the competition, packing seventeen rounds of nine-millimeter parabellum ammunition, more than doubling the P-38’s magazine capacity.

Gaston Glock credits his success in handgun design to his lack of knowledge about handguns. That gave him no preconceived notions about what a handgun should be, and allowed him to focus on just a handful of requirements: ease of use, simplicity and reliability. Glock didn’t try to invent a pistol that would take over the world, just win a contract for the Austrian army. The rest of the world simply decided it wanted what he was selling. Somewhere in there is a lesson for defense contractors everywhere.

President-elect Donald Trump’s ultra-wealthy Cabinet nominees will be able to avoid paying millions of dollars in taxes in the coming weeks when they sell some of their holdings to avoid conflicts of interest in their new positions.

The tax advantage will allow Trump officials, forced by ethics laws to sell certain assets, to defer the weighty tax bills they would otherwise owe on the profits from selling stock and other holdings.

The benefit is one of the more subtle ways that the millionaires and billionaires of Trump’s White House, which already will be the wealthiest administration in modern American history, could benefit financially from their t***sition into the nation’s halls of power.

The legal tax maneuver, offered for years to executive-branch appointees and employees, was designed to help ease the sting of being forced to suddenly sell investments.


But the federal program, encoded in Section 2634 of federal ethics laws and known as a “certificate of divestiture,” has never been tested quite like this. Trump’s Cabinet picks have amassed assets worth billions of dollars from lifetimes in banking and investing, much of which they will be able to sell tax-free.

Trump has not committed to divesting his fortune. But if he does, federal ethics advisers said, the self-described billionaire could potentially reap the same tax advantage. The Office of Government Ethics, which leads the program, said this week that it was researching whether the ­president-elect could qualify.

The benefit was used to great effect when Henry Paulson, then chief executive of Goldman Sachs, was nominated by President George W. Bush to serve as treasury secretary. Paulson sold roughly half a billion dollars’ worth of Goldman stock and used the benefit to avoid what the Economist estimated was $200 million in taxes.


Some ethics advisers defend the tax benefits as a smart way to ensure new government officials can avoid heavy tax burdens on holdings they are required by law to sell.

“You don’t want someone, just because they’ve done well in the private sector, to pay a penalty for taking a job in the government,” said Ken Gross, a former Federal E******n Commission enforcement official who has advised candidates of both parties.

“Some of these people are some of the most valuable public servants, who know how things are run on the private side,” Gross added. “To jeopardize their ability to serve by hitting them with a massive tax bill is not good public policy.”

Trump t***sition and company representatives did not respond to requests for comment. Trump, in a New York Times interview last month, suggested divesting would be “a very hard thing to do” because of his broad holdings in real estate and other assets.

When new officials join the government, federal ethics advisers review their holdings and instruct them on how they should cut through entanglements, such as recusing themselves or divesting stocks and other assets in cases where potential conflicts could arise.

People who sell company stock typically have to pay taxes on any profits, known as capital gains. But the divestiture benefit allows officials to skip that tax bill, as long as they reinvest the gains into assets where conflicts are less likely, such as U.S. Treasury bonds or diversified mutual funds.

It is unclear what Trump officials will be asked to divest, but the tax savings on sold-off holdings could be monumental. Trump’s choice for education secretary, Betsy DeVos, is the heiress of a family Amway fortune worth roughly $5 billion.

The heads of financial divisions, including the Treasury Department, are traditionally advised to sell stocks, bonds and other instruments affected by the country’s fiscal policy. Upon his appointment in 2009 as treasury secretary, Timothy F. Geithner pledged to divest his holdings in several investment funds and college-savings accounts, an ethics letter from the time shows.

That could mean big tax benefits for Trump’s financial leaders. Steven Mnuchin, Trump’s pick for treasury secretary, is a hedge-fund founder and former Goldman Sachs banker who has made tens of millions of dollars on Wall Street. His portfolio includes about $100 million of stock in banking giant CIT Group, according to compensation research firm Equilar.

Trump’s nominee for commerce secretary, billionaire investor Wilbur Ross, has a net worth nearly 10 times that of all of Bush’s first Cabinet in 2001 combined, including tens of millions of dollars in stock and more than $1 billion in cash and assets, Bloomberg data show.

Capital gains are taxed at a far lower rate, 15 percent, than the typical income most people make from working. Mitt Romney, the 2012 Republican p**********l candidate, was criticized because his tax rate was so low, largely as a result of the capital gains from his investing career.

The tax benefit has been offered since 1989 by the Office of Government Ethics. The federal agency said in a tweet Wednesday that the only way for Trump to fully avoid conflicts of interest is to divest his assets.

Some ethics experts say the benefit has practical value for officials at all levels. Many agencies have their own conflict-of-interest rules prohibiting the ownership of certain stocks. For example, Environmental Protection Agency employees in the office that regulates toxic chemicals are banned from owning pesticide-company stock.

“If you suddenly had to absorb the capital-gains taxes of substantial parts of your holdings, it would be a real body blow to some people financially,” said Robert Lenhard, a campaign-finance lawyer and former FEC chairman. “I just think of it as an act of fairness for those people entering public service.”

The stock-selling demand could come at a fruitful time. The Dow Jones industrial average has in recent weeks hit all-time highs.

But it could prove most lucrative for top officials with broad holdings in stocks and bonds.

Trump’s tax plan has called for “across the board” cuts, which means administration officials could preside over the same ­capital-gains tax cuts from which they could later benefit.

Whether Trump could qualify for the tax advantage if he divests his assets remains unclear. The law says it must be ruled “reasonably necessary” for an official to divest shares, but the president is exempt from conflict-of-
interest laws that bind most other government officials.

Trump said in a financial disclosure filing in May that he owned up to $40 million of stock, including in companies whose value could rise as a result of his policies. Divesting those shares, if he qualified for the benefit, could prove deeply lucrative.

Whether Trump pays any federal income taxes is another question entirely. He has refused to release his tax returns and for many years used real estate and other deductions to drop his tax bill to zero.

Silicon Valley water district studies new reservoir

In a significant step toward construction of the Bay Area’s first major new reservoir in nearly two decades, Silicon Valley’s largest water provider has begun negotiations to buy more than 12,000 acres of rural ranch land — an area nearly half the size of San Francisco.

The Santa Clara Valley Water District is hoping to build an $800 million reservoir in southern Santa Clara County near Pacheco Pass, along with a dam up to 300 feet high. The reservoir would hold 130,000 acre-feet of water — enough to meet the water needs of 650,000 people for a year.

But the fact that the district is moving so quickly to buy the land when it has not yet done any engineering or environmental studies, identified a funding source or applied for state money to help build the new reservoir is raising some eyebrows.

If completed, the project would result in the construction of a reservoir nearly the size of Los Vaqueros in Contra Costa County, which was the last major reservoir built in the Bay Area when it was constructed in 1998.

Officials at the district also have been in negotiations with the Contra Costa Water District as part of that agency’s proposal to enlarge Los Vaqueros and potentially share some of the extra water.

But Santa Clara Valley Water District officials say the recent drought showed them they need even more water storage.

Last week, the board of the San Jose-based district authorized its staff to sign an agreement with the Valley Habitat Agency, a government agency that works to preserve wildlife habitat in southern Santa Clara County, to negotiate purchase of the huge property surrounding the dam site. The new reservoir would be the first built in Santa Clara County since 1957 and the largest in the county — 50 percent larger than Anderson Reservoir near Morgan Hill.

The property where it would be located, known as El Toro Ranch, is 12,221 acres and is for sale for $21 million. A working cattle ranch with seven miles of frontage on Highway 152 between Gilroy and San Luis Reservoir near Los Banos, the land is owned by a family corporation controlled by Lewis M. Mathis, a member of a longtime cattle-ranching family that has owned the property since the early 1970s.

“It could help provide habitat and a potential Pacheco reservoir project,” said Gary Kremen, a member of the water district board who chairs the agency’s Pacheco reservoir subcommittee. “We’re trying to buy it at a fair price.”

Valerie Armento, an attorney for the the Valley Habitat Agency, said the agency has been in discussions with representatives of the owners of the ranch for about a year. The agency is working with the Nature Conservancy, a nonprofit environmental group, and is looking for contributions from the water district and possibly other public agencies, she said.

“We are looking at a couple of different funding sources,” Armento said.

The Valley Habitat Agency, created in 2013, is a partnership of government agencies, including Santa Clara County, and the cities of San Jose, Gilroy and Morgan Hill, along with affiliated agencies such as the water district and the Santa Clara Valley T***sportation Authority. The agency was set up to create a habitat conservation plan to help provide wildlife restoration projects for the partner agencies that are often required to obtain federal and state permits when the construction of new roads, flood-control projects and other public works affect natural areas.

The agency has never purchased a property the size of El Toro Ranch, Armento said.

If the groups bought it — even though a portion would be flooded with the new reservoir — thousands of other acres of land for wildlife would remain, she said.

“There’s plenty of wildlife out there — deer and wild pigs, quail, mountain lions, just about everything that lives out in wilderness property,” said Pete Clark, a broker for the property.

But some environmentalists say negotiating the purchase of the ranch is premature.

“In California there have been many proposals for new dams, very few of which ever came to fruition,”  said Jonas Minton, senior water policy adviser at the Planning and Conservation League, a Sacramento environmental group. “Spending millions of ratepayer dollars before even the basic due diligence has been performed is a recipe for financial failure.”

Minton, a former deputy director of the California Department of Water Resources, said most agencies spend years evaluating the feasibility of new dam projects before they buy the land where it would be located.

But Kremen, the water district board member, said that even if the dam is never built, the water district will still need to help acquire wildlife habitat to obtain permits for its construction projects.

Under the proposal, the new reservoir would be built on, or slightly upstream from, an existing reservoir, Pacheco Lake, in the rugged ranch lands about half a mile north of Highway 152 near Casa de Fruta. That lake, owned by the tiny Pacheco Pass Water District, sits on Pacheco Creek behind North Fork Dam, a 100-foot earthen dam built in 1939. The existing reservoir is small and holds only 6,000 acre-feet of water. The new reservoir would hold more than 20 times as much.

The plan would be to tear down North Fork Dam and build a new dam either on the same location or up to a mile upstream in the oak woodlands of the Diablo Range. The new earthen dam would be at least 200 feet tall and potentially 300 feet tall.

The district would take water it now stores in nearby San Luis Reservoir and pipe it into the new reservoir, filling it during wet years.

UPREITs as 1031 Exchange Replacement Property Solutions
What is a Real Estate Investment Trust?
Real Estate Investment Trusts, usually referred to as REITs, are very similar in concept to a mutual fund that invests in real estate and real estate related assets. Investors buy shares or units in the REIT and the REIT in turn buys the real estate. REITs are therefore considered securities and can be publicly traded (bought and sold) like any other publicly traded stock, bond or mutual fund, or it can be privately traded and bought or sold through registered representatives that specialize in non-publicly traded REITs.

Real Estate Investment Trusts generally acquire and own numerous investment real properties that provide investors with a well diversified investment real estate portfolio. REITs are also well known for providing handsome cash flows in the form of dividends paid to investors.

Can an Investor 1031 Exchange into a REIT?
Investors often ask if they can 1031 Exchange out of investment real estate and acquire an interest in a Real Estate Investment Trust as their replacement property. The answer is no because buying shares in a REIT is considered to be personal property (i.e. a security interest) and not an interest in real estate and is therefore not like-kind to the real property that was sold. The investor would need to acquire a direct interest in real estate in order to qualify for tax-deferred exchange treatment under Section 1031.

There is, however, one exception to this question. Investors can sell rental or investment real property and then 1031 Exchange into an interest in an upREIT, which is also referred to as a 1031/721 Exchange or a 1031 Exchange followed by a 721 Contribution.

What is an upREIT (1031/721 Exchange)?

An Umbrella Partnership Real Estate Investment Trust, usually referred to as an upREIT or a 1031/721 Exchange, can provide virtually the same tax-deferred benefits to real estate investors that a 1031 Exchange provides when they contribute their investment real property into a new ownership structure that includes an operating partnership with a REIT. Investors can effectively dispose of real estate and acquire an interest in a REIT on a tax deferred basis by taking advantage of the upREIT strategy.

A pure 721 Exchange t***saction would involve a direct contribution of the investor's real property into the operating partnership in exchange for an interest in the operating partnership. This rarely happens because the REIT is generally not interested in the real estate offered by the investor.

UPREITs are generally structured as a two step process using a combination of a tax-deferred exchange pursuant to Section 1031 of the Internal Revenue Code ("1031 Exchange") and subsequently a tax-deferred contribution of real estate into a partnership pursuant to Section 721 of the Internal Revenue Code ("721 Exchange").

The first step is selling the relinquished property and structuring a 1031 Exchange. However, instead of searching for suitable replacement property the investor would identify and acquire a fractional interest (tenant-in-common interest) in real estate that the REIT has already designated. This completes the 1031 Exchange portion of the t***saction.

The second step is to contribute the fractional interest into the operating partnership after a holding period of 12 to 24 months as part of a 721 Exchange (tax deferred contribution into a partnership). The investor receives an interest in the operating partnership in exchange for his or her contribution of the real estate and is now effectively part of the REIT.

This concise overview of the process to 1031 Exchange out of rental or investment real estate and into an upREIT has been oversimplified, but it gives you the general idea of how you can participate in an upREIT investment structure.

Tax Deferred Treatment and Benefits
Capital gain and depreciation recapture taxes are tax-deferred as long as the upREIT continues to hold the investment real property and the investor continues to hold the interest in the operating partnership. The upREIT provides another exit strategy for investors to use when they wish to get out of direct real estate management but not pay their taxes.

The upREIT provides some great tax-deferred planning strategies, better investment diversification, increased cash flow, as well as some estate planning benefits. The upREIT has two big draw-backs, however.

Risks Associated With A 1031 Exchange Into An UPREIT
Investors who 1031 Exchange into an upREIT have exchanged into a security and therefore no longer own real estate. Since the investor now owns a security, he or she cannot 1031 Exchange out of the upREIT and into other real estate. The sale or disposition of their interest in an upREIT will result in a taxable t***saction, including the recognition of their deferred capital gain and any depreciation recapture.

The upREIT also has control over the asset they 1031 Exchanged into and therefore has control over the sale or disposition of the asset. The sale or disposition of the asset can trigger the recognition of the investors deferred capital gain and any depreciation recapture. Some upREIT sponsors will guarantee that they will not trigger any taxable gain for a specified number of years, while others remain silent regarding the potential for triggering the deferred taxable gain.
